B2B Sales Terms

These B2B Sales Terms ("Terms") govern all sales, quotations, supply agreements, purchase orders, and commercial transactions between Makai Global Fabrics Pvt. Ltd. ("Company", "we", "our", or "us") and any purchaser, buyer, distributor, retailer, manufacturer, exporter, importer, or commercial entity ("Customer").

2. Business Nature

Makai Global Fabrics Pvt. Ltd. operates exclusively in the business-to-business (B2B) sector and supplies fabrics, textiles, textile components, and related products to commercial buyers.

We do not sell products for personal, household, or consumer use.

By placing an order, the Customer confirms that the purchase is made for commercial or business purposes.

3. Quotations

- All quotations are valid only for the period specified in the quotation.
- Quotations are non-binding unless accepted by the Company in writing.
- Prices, availability, lead times, and specifications may change without prior notice.
- Quotations do not constitute a commitment to supply until confirmed by the Company.

4. Product Samples

Customers are strongly encouraged to request and evaluate samples before placing bulk orders.

Samples may be provided subject to availability and may incur sample charges, shipping costs, or both.

Approval of samples by the Customer shall be considered acceptance of product specifications for subsequent bulk orders.

5. Product Specifications and Variations

Textile products may naturally exhibit reasonable variations in:

- Color shade
- Texture
- Finish
- Weight (GSM)
- Width
- Construction
- Dye lot consistency

Such variations are normal industry characteristics and shall not be considered defects.

Customers are responsible for confirming suitability before placing production orders.

6. Minimum Order Quantities (MOQ)

Certain products may be subject to minimum order quantities.

The Company reserves the right to refuse orders that do not meet applicable MOQ requirements.

7. Order Acceptance

Orders become binding only when:

- A purchase order is received;
- Commercial terms are agreed upon; and
- The Company issues written confirmation.

The Company reserves the right to reject any order without obligation to provide reasons.

8. Pricing and Taxes

- Prices are quoted in the agreed currency.
- Applicable taxes, GST, duties, levies, customs charges, freight, insurance, and regulatory fees shall be borne by the Customer unless otherwise agreed in writing.
- Prices may be revised due to fluctuations in raw material costs, exchange rates, freight charges, or government regulations before order confirmation.

9. Payment Terms

Payment terms shall be specified in quotations, invoices, purchase orders, or separate agreements.

The Company reserves the right to require:

- Advance payment
- Partial advance payment
- Letter of Credit (LC)
- Bank transfer
- Other mutually agreed payment methods

Late payments may result in shipment delays, suspension of supply, or cancellation of future orders.

10. Production and Lead Times

Production and delivery schedules are estimates only.

Lead times may vary due to:

- Raw material availability
- Manufacturing capacity
- Seasonal demand
- Logistics constraints
- Regulatory requirements
- Force majeure events

The Company shall not be liable for delays beyond its reasonable control.

11. Shipping and Delivery

Delivery terms shall be governed by the applicable quotation, invoice, purchase order, contract, or agreed Incoterms.

Risk of loss or damage transfers to the Customer according to the agreed shipping terms.

Delivery dates are estimates and are not guaranteed.

12. Inspection and Claims

Customers shall inspect goods immediately upon receipt.

Claims relating to:

- Manufacturing defects
- Quantity discrepancies
- Incorrect products
- Transit damage

must be reported in writing within seven (7) days of delivery.

Claims submitted after this period may not be accepted.

13. No Returns and Limited Refunds

As detailed in our Return, Refund & Cancellation Policy:

- Bulk fabric orders are generally non-returnable.
- Payments made for confirmed orders are generally non-refundable.
- Customers are encouraged to evaluate samples before purchase.
- Custom, dyed, printed, processed, private-label, or specially sourced products are non-cancellable and non-refundable.

14. Intellectual Property

All product images, catalogs, specifications, trademarks, logos, marketing materials, and website content remain the property of Makai Global Fabrics Pvt. Ltd. unless otherwise agreed in writing.

No rights are granted except those expressly stated.

15. Confidentiality

Any commercial information, pricing, quotations, product specifications, sourcing information, supplier details, business strategies, or proprietary materials shared by either party shall be treated as confidential and shall not be disclosed to third parties without prior written consent.

16. Limitation of Liability

To the maximum extent permitted by law:

- The Company's total liability shall not exceed the invoice value of the affected goods.
- The Company shall not be liable for indirect, incidental, special, consequential, or lost-profit damages.

17. Force Majeure

The Company shall not be liable for delays or failures caused by events beyond reasonable control, including:

- Natural disasters
- Government actions
- War
- Trade restrictions
- Labor disputes
- Transportation disruptions
- Pandemics
- Cybersecurity incidents
- Utility failures

18. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Noida, Uttar Pradesh, India.

19. Amendments

Makai Global Fabrics Pvt. Ltd. reserves the right to modify these B2B Sales Terms at any time.

Updated versions shall become effective upon publication on Makaifabrics.com.
